The Changing Face of the Governance Team

The days have gone when a board views its principle obligation as that of ‘overseeing’ management: a term that suggests both a lack of trust and respect.

Instead today’s strong boards recognise the value of accurate, precise and timely information provided by management, as the output of a synergetic relationship between the board and senior management.

This session highlights the importance of the governance team (the board and senior management) and shows how focus on information-centric decision-making is changing the governance dynamic.

The Seven Determinants of Effective Governance
Date: Wednesday 5 August 2009
Time: 12 Noon - 1:15pm

Understanding the board’s role; its composition; skills, abilities, the knowledge of directors and their behaviour; the working relationship between the chief executive and chair also its culture and processes, as well as information sources plays a key role in determining board effectiveness.

Each element is significant but more importantly the balance between them is critical. This session focuses on how each of the elements interact and shape the others and in doing so adds to the decision-making effectiveness of governance in all organisations.

This six week course is aimed at small and medium sized businesses. Each course is 2.5 hours and starts at 4pm. The courses involve a mix of theory, case study exercises and discussions. The courses are led by Dr Bev Edlin and Nick Dangerfield. For more information read here.

Workshop: Company Administration and Legislative Requirements for Small Business
This one-day programme is aimed at informing small business owners of their legal risks and obligations as directors under the Companies Act and other relevant pieces of legislation. Methods to avoid legal problems and minimise bureaucratic requirements and costs are highlighted. For more information read here.

Workshop: Board Dynamics
The purpose of the workshop is to help board members improve their board’s effectiveness and thereby to raise the performance of their organisations to enable them to compete successfully. For more information read here.

Workshop: Governance for Growth
This programme examines the issues board's face when growing as well as learning to work with management as a team to manage the growth phase.  There are a number of unique issues faced by growing businesses such as the development of the product and the time when investor capital is injected into the business.  Growth often brings with it a number of situations that are quite different from those on other boards.  For more information read here.

Workshop: Fiduciary Duties
The special role of company director imposes specific and different obligations and duties on various parties. Understanding the nature of the relationships and obligations of the director to each of these parties may assist directors in ensuring their conduct upholds legal and  ethical compliance. This workshop is designed for current and prospective directors who want to understand their duties, obligations and rights in their role as fiduciary to the company. For more information read here.

Workshop: Informational Transparency
The advantages for a company in having a reputation as an “informationally transparent” company are becoming more evident as media attention on organisation’s governance practices increases. What should disclosed information be like? Good governance starts with a strong infrastructure and adequate disclosure. This programme is for prospective directors to learn what good board infrastructure comprises and for current directors to review their board’s infrastructure and disclosure practices.
